1. Acceptance of Terms

Welcome to ZEROCODE. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ZEROCODE ("Company," "we," "our," or "us") governing your access to and use of our AI-powered mobile application development platform, including our website, web application, APIs, and any related services (collectively, the "Service").

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

You must be at least 16 years old (or 13 years old in the United States with parental consent) to use the Service. By using the Service, you represent that you meet this age requirement.

2. Definitions

• "Account" means a registered user account on the Service.
• "Content" means any text, code, images, data, or other materials.
• "Generated Content" means any Content created by our AI systems based on your inputs.
• "User Content" means any Content you submit, upload, or create using the Service.
• "Project" means an application development project created on the Service.
• "Credits" means the virtual currency used to access certain features of the Service.
• "Subscription" means a paid plan providing access to premium features.
• "API" means our application programming interface for programmatic access.

3. Service Description

ZEROCODE is an AI-powered platform that enables users to build mobile and web applications through natural language interactions. Our Service includes:

• AI Code Generation: Generate application code from natural language descriptions
• Real-time Preview: Preview generated applications in an interactive environment
• Project Management: Create, organize, and manage multiple projects
• Code Export: Export generated code in various formats (Expo, Next.js, Flutter)
• Templates: Access pre-built application templates and components
• Collaboration: Share and collaborate on projects (subject to plan features)

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes.

4. Account Registration

4.1 Account Creation

To access certain features, you must create an Account. When registering, you agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your Account information
• Keep your login credentials secure and confidential
• Not share your Account with others or transfer it without our consent
• Notify us immediately of any unauthorized access or security breach

4.2 Account Responsibility

You are solely responsible for all activities that occur under your Account. We are not liable for any loss or damage arising from your failure to maintain Account security.

4.3 Account Suspension

We reserve the right to suspend or terminate your Account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if required by law.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall NOT:

• Generate, upload, or distribute malware, viruses, or malicious code
• Create applications designed to harm, harass, or defraud others
• Generate content that is illegal, defamatory, obscene, or promotes violence
• Create applications that infringe on intellectual property rights
• Generate content that violates privacy or data protection laws
• Create spam, phishing, or fraudulent applications

5.2 Prohibited Activities

• Attempt to gain unauthorized access to the Service or other systems
• Reverse engineer, decompile, or disassemble the Service
• Circumvent any security measures or access controls
• Use the Service to violate any applicable laws or regulations
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorization
• Impersonate another person or entity

5.3 AI Usage Restrictions

• Do not attempt to extract or reproduce our AI models
• Do not use AI-generated content to train competing AI systems
• Do not use the AI to generate content that circumvents app store policies
• Do not use the AI for any form of discrimination or bias amplification

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including its underlying technology, software, algorithms, user interface, design, graphics, and documentation, is owned by ZEROCODE and protected by copyright, trademark, patent, and other intellectual property laws worldwide.

"ZEROCODE" and our logos are trademarks of ZEROCODE. You may not use our trademarks without our prior written consent.

6.2 License to Use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

6.3 Restrictions

You may not: (a) copy, modify, or create derivative works of the Service; (b) license, sell, or transfer the Service to third parties; (c) remove any proprietary notices from the Service.

7. User Content

7.1 Ownership

You retain all ownership rights to your User Content, including any prompts, inputs, configurations, and original creative works you submit to the Service.

7.2 License to ZEROCODE

By submitting User Content, you grant ZEROCODE a worldwide, non-exclusive, royalty-free license to:

• Host, store, and display your User Content to provide the Service
• Process your inputs to generate AI outputs
• Use anonymized and aggregated data for Service improvement and analytics
• Create backups and copies for operational purposes

7.3 Representations

You represent that: (a) you own or have the right to use your User Content; (b) your User Content does not violate these Terms or any third-party rights; (c) your User Content is accurate and not misleading.

8. AI-Generated Content

8.1 Ownership of Generated Content

Subject to these Terms, you own the Generated Content created through your use of the Service. We grant you a perpetual, worldwide, royalty-free license to use, modify, and distribute Generated Content for both personal and commercial purposes.

8.2 Third-Party Dependencies

Generated Content may incorporate or depend on open-source libraries, frameworks, or third-party components. You are responsible for complying with the licenses of any such dependencies.

8.3 No Guarantees

• Generated code may contain bugs, security vulnerabilities, or errors
• AI outputs may occasionally produce unexpected or inappropriate results
• Generated applications may not comply with all platform requirements
• We do not guarantee any specific performance or functionality

8.4 Your Responsibility

You are solely responsible for: (a) reviewing and testing all Generated Content; (b) ensuring compliance with applicable laws and platform policies; (c) any damages arising from use of Generated Content.

9. Payment and Subscriptions

9.1 Pricing

Some features of the Service require a paid Subscription. Current pricing is available on our website. Prices are subject to change with at least 30 days' notice for existing subscribers.

9.2 Billing

• Subscriptions are billed in advance on a recurring monthly or annual basis
• You authorize us to charge your payment method for all applicable fees
• All fees are exclusive of applicable taxes, which will be added where required
• Failed payments may result in suspension of your Subscription

9.3 Cancellation

You may cancel your Subscription at any time through your Account settings. Upon cancellation:

• Your Subscription will remain active until the end of the current billing period
• You will retain access to free features after the Subscription ends
• Your projects and data will be preserved according to our data retention policy

9.4 Refunds

Subscription fees are generally non-refundable. However, we may provide refunds in our sole discretion in cases of technical issues or service outages that significantly impact your use of the Service. To request a refund, contact billing@just0code.com.

10. Credits System

10.1 Credit Usage

Certain features of the Service consume Credits. Credit costs vary based on the complexity and type of operation. Current credit costs are displayed within the Service.

10.2 Credit Allocation

• Free accounts receive a limited number of credits per month
• Paid Subscriptions include monthly credit allocations based on the plan tier
• Additional credits may be purchased separately (credit packs)
• Credits are non-transferable between accounts

10.3 Credit Expiration

Monthly subscription credits do not roll over to the next billing period. Purchased credit packs expire 12 months from the date of purchase unless otherwise specified.

11. Third-Party Services

The Service may integrate with or contain links to third-party services, including:

• AI model providers (OpenAI, Anthropic)
• Authentication providers (Google, GitHub)
• Payment processors (Razorpay, Stripe)
• Cloud infrastructure providers (Vercel, Supabase)
• App stores and deployment platforms

Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the content, policies, or practices of any third-party services.

12. Disclaimers and Warranties

13. Limitation of Liability

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, the above limitations may not fully apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless ZEROCODE and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any claim that your User Content caused damage to a third party
• Applications you create or distribute using the Service
• Your negligence or willful misconduct

15. Termination

15.1 Termination by You

You may terminate your Account at any time by contacting us or using the account deletion feature in your settings. Upon termination, you may export your projects and data.

15.2 Termination by Us

We may suspend or terminate your Account immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms or our Acceptable Use Policy
• Fraudulent, illegal, or harmful activity
• Non-payment of fees
• At our sole discretion for any other reason

15.3 Effect of Termination

Upon termination: (a) your license to use the Service immediately ceases; (b) we may delete your Account and associated data after a reasonable retention period; (c) provisions that by their nature should survive termination will remain in effect.

16. Dispute Resolution

16.1 Informal Resolution

Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at legal@just0code.com. We will attempt to resolve the dispute within 30 days.

16.2 Binding Arbitration

If informal resolution fails, any dispute arising from these Terms shall be resolved by binding arbitration in accordance with the rules of the arbitration body in the jurisdiction specified in Section 17. The arbitration shall be conducted in English.

16.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

For users in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website
• Updating the "Last updated" date at the top
• Sending an email notification for significant changes
• Displaying a prominent notice within the Service

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.

19. Miscellaneous

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and ZEROCODE regarding the Service.

19.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

19.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

19.5 Force Majeure

We shall not be liable for any failure or delay resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or internet outages.
